This Acceptable Use Policy (the “AUP”) sets out terms you, and those acting on your behalf, must comply with when using any of Perforce’s online software as a service offerings (the “Cloud Services”) made available by Perforce Software, Inc., or any of its subsidiaries and affiliates (collectively, “Perforce,” ”we, ”our,” or “us”).
1. Credentials to Access the Cloud Services.
1.1. You agree that as a condition of using our Cloud Services, you, or any of those acting on your behalf, will:
1.1.1. not use a false identity to gain access to the Cloud Services;
1.1.2. carefully store access credentials and security tokens and protect them from unauthorized access, disclosure, or use;
1.1.3. not gain access to the Cloud Services by any means other than (i) your specified user account, or (ii) by other means directly provided to you by Perforce or by any of Perforce’s authorized agents;
1.1.4. not circumvent or disclose the authentication or security of your user account, the underlying technology, or any host, network, or account related thereto;
1.1.5. ensure that any access credentials are not shared with other individuals; and
1.1.6. ensure that access credentials are used only by the individual who was granted the credentials.
1.2. Notwithstanding the foregoing, Perforce reserves the right to change your access credentials if Perforce determines, at our reasonable discretion, that a change is necessary.
2. No Abuse or Misuse of the Cloud Services. You agree that you, or anyone acting on your behalf will not:
2.1. use Cloud Services in a way that is intended to avoid or work around any use limitations and restrictions placed on such Cloud Services (such as access and storage restrictions), monitoring, or to avoid incurring fees);
2.2. access or use Cloud Services for the purpose of conducting a performance test, building a competitive product or service, or copying its features or user interface; or
2.3. interfere with the proper functioning or security of the Cloud Services or Perforce’s other systems, networks, or infrastructure;
2.4. distribute, publish, send, or facilitate the sending of unsolicited mass e-mail or other messages, promotions, advertising, or solicitations, including commercial advertising and informational announcements;
2.5. alter or obscure mail headers or assume a sender’s identity without the sender’s explicit permission; and
2.6. use, extract, or scrape any data, content, or information from the Cloud Services to train artificial intelligence, machine learning models, or any similar technologies, or for any automated data collection or analysis purposes not expressly authorized by Perforce.
3. No Illegal or Harmful Use of the Cloud Services.
3.1. You agree that you, or anyone acting on your behalf will:
3.1.1. not use the Cloud Services or any aspect or feature thereof, in a manner that is illegal or in any way that might harm, damage, or disparage any other party;
3.1.2. not misuse our Cloud Services, or use our Cloud Services in a manner that is inconsistent with the AUP;
3.1.3. comply with all applicable laws, including, without limitation, privacy laws, intellectual property laws, export control laws, tax laws, regulatory requirements, and international sanctions administered by the US Office of Foreign Assets Control and other applicable governmental authorities, and ensure proper classification of all data uploaded to the Cloud Services in accordance with applicable export control laws; and
3.1.4. provide accurate information to us in connection with the Cloud Services and update it as necessary.
4. No Violation of Use Restrictions. You agree not to use the Cloud Services to do any of the following while using the Cloud Services:
4.1. create an account for anyone other than a natural person (unless you are a company, organization, legal entity, or a brand and represent that company, organization, legal entity, or brand);
4.2. defame, stalk, bully, abuse, threaten, harass, abuse, intimidate, harm another person, or engage in any other predatory behavior, including, without limitation, sending unwelcome communications to others, or advocates or incites violence, criminal conduct, or the violation of law or the rights of Perforce, its Licensors, employees, or any third party;
4.3. use or attempt to use another's account or create a false identity;
4.4. infringes or misappropriates Perforce’s or a third party’s intellectual property, confidentiality, or other rights;
4.5. duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, or otherwise transfer information found in the Cloud Services, except as permitted in this AUP;
4.6. decompile, disassemble, use reverse engineering, decipher, or otherwise attempt to derive the source code for the computer systems and other technology that operates the Cloud Services, or any part thereof;
4.7. utilize or copy information, content, or any data you view on or obtain from the Cloud Services to provide any service that is competitive, in our sole discretion, with the Cloud Services;
4.8. adapt, modify, or create derivative works based on the Cloud Services or technology underlying the Cloud Services, in whole or part;
4.9. rent, lease, loan, trade, or sell/resell any information on the Cloud Services, in whole or in part;
4.10. sell, sponsor, or otherwise monetize any service or functionality in the Cloud Services;
4.11. remove any copyright, trademark, or other proprietary rights notices contained in or on the Cloud Services (whether ours or our licensors');
4.12. infringe or misappropriate Perforce’s or a third party’s brand, logos, or trademarks or other intellectual property, confidentiality, or other rights;
4.13. engage in any action that directly or indirectly interferes with the proper working of or places an unreasonable load on the Cloud Services' infrastructure, including, but not limited to, sending unsolicited communications to other users or our personnel, attempting to gain unauthorized access to the Cloud Services, or transmitting or activating computer viruses, Trojan horses, worms, time bombs, or any other harmful or deleterious software programs through or on the Cloud Services; and
4.14. otherwise violates any local, state, federal, provincial, or international law or regulation.
5. Monitoring and Reporting. Perforce and its authorized subcontractors may monitor and investigate your compliance with this AUP. You must immediately notify us of any violation and provide requested assistance to remedy it. We may remove, disable, or modify violating content or resources, with or without notice. If we determine there is an immediate threat to the Cloud Services, other users, or our systems, or if required by law, we may act without prior notice. We may be required to report any activity that we suspect violates any law or regulation to law enforcement officials, regulators, or other third-party agencies.
6. Ability to Contract. By accessing or using our Cloud Services, you confirm that you can form a binding contract with us and have reached the age of majority in your jurisdiction, as the Cloud Services are not intended for minors. We will cancel any user’s account if we learn they are under the age of majority. If you are using the Cloud Services on behalf of a legal entity, you represent that you are authorized to bind that entity and are individually bound by this AUP even if we have a separate agreement with such entity.
7. Data Backups. You are solely responsible for maintaining backups of your data stored in the Cloud Services. Upon termination or expiration of your access to the Cloud Services, data retention, deletion, export, and return will be governed by your agreement with Perforce and applicable law.
8. Changes to this AUP. Perforce reserves the right to modify this AUP at any time. We will provide notice of material changes by posting the updated AUP on our website and updating the “Last Revised” date at the top of this AUP. Your continued use of the Cloud Services after such modifications constitutes your acceptance of the updated AUP. If you do not agree to the modified AUP, you must immediately stop using the Cloud Services. Perforce encourages you to review this AUP periodically for any changes.
