Perforce Software Holdings, Inc. (“Parent”), inclusive of its wholly owned subsidiaries (Parent collectively with its subsidiaries, "Perforce"), is committed to operating as a responsible global technology organization that advances sustainable innovation, minimizes environmental impact, promotes social well being, and upholds the highest standards of ethical governance. This global environmental, social, and governance policy (the "Policy") applies to all Perforce employees, including any regular employee, Perforce paid temporary employee, contingent worker (including agency temporary employees, independent contractors, and vendor employees), and interns.
This Policy should be read in conjunction with Perforce's related policies and documents, including, without limitation, Perforce's: (a) Employee Code of Conduct; (b) Vendor/Supplier Code of Conduct; (c) Data Privacy Policy; (d) Information Security Policy; (e) Policy Statement Regarding Slavery and Human Trafficking; and (f) Reporting Hotline Policy.
Perforce has progressively integrated environmental, social, and governance (“ESG”) considerations into its operations and views this integration as essential to delivering long-term value to Perforce's customers, employees, investors, stakeholders, and the communities we serve.
- Environmental Responsibility. Perforce recognizes its responsibility to reduce its environmental impact and contribute to global climate goals.
- Climate & Energy Management. Perforce commits to:
- Improving energy efficiency across all global offices.
- Supporting zero waste objectives in office operations, including recycling programs and sustainable office reconfigurations to meet the needs of the local employee base.
- Monitoring industry developments in greenhouse gas reduction targets and global climate frameworks to further evaluate opportunities to reduce emissions across Perforce's operations.
- Sustainable IT & Product Innovation. Perforce incorporates sustainability into its technology and product strategy by:

- Leveraging sustainability focused solutions such as cost and sustainability compliance dashboards within our cloud portfolio offerings.
- Supporting industry collaboration through leadership participation in organizations like SustainableIT.org and maximizing hardware reuse and recycling programs and initiatives such as HumanIT.org and other device reuse programs and initiatives.
- Climate & Energy Management. Perforce commits to:

- Volunteering, donation matching initiatives, and partnerships with organizations addressing hunger, housing, education, and digital access.
- Human Rights & Fair Labor Practices. Perforce commits to uphold human rights across all global operations and supply chains, including, without limitation, ensuring fair labor conditions, non discrimination in our hiring and employment practices, and the elimination of forced or child labor.
- Supply Chain Sustainability. Perforce recognizes that sustainable business practices extend throughout our global supply chain and procurement processes. As a result, Perforce commits to:
- Encouraging suppliers, vendors, and business partners to adhere to ESG principles consistent with Perforce's values, including compliance with Perforce's Vendor/Supplier Code of Conduct;
- Incorporating environmental and social responsibility criteria into procurement decisions, vendor selection processes, and ongoing supplier assessments; and
- Engaging with key suppliers to promote continuous improvement in sustainability practices, including greenhouse gas reduction, responsible sourcing, and adherence to fair labor standards.
- Employee Well Being and Development. Perforce commits to promote:
- Governance and Ethical Conduct. Perforce believes that strong corporate governance underpins the integrity of Perforce’s global operations.
- Ethical Business Practices. Perforce commits to: (a) upholding anti corruption, anti bribery, and compliance standards globally; (b) supporting robust whistleblower protections, with clear reporting channels and training; and (c) maintaining processes for identifying, reporting, and addressing ESG-related incidents.
- Enterprise Governance and Risk Management. Perforce commits to employing and refining its governance tools across its product ecosystem, including the use of: (a) policy as code compliance systems; and (b) business continuity planning to ensure operational resilience and service reliability for Perforce’s customer base.
- Responsible Use of AI. Perforce is committed to the responsible development and deployment of artificial intelligence capabilities within our products and operations. Perforce has obtained ISO 42001 (AI management systems standard) certification for certain of its software products1.
- Board Oversight. Parent's Board of Directors provides oversight of Perforce's ESG strategy, performance, and risk management. The Board receives periodic reports on ESG matters, including progress against established targets, material ESG risks and opportunities, stakeholder engagement outcomes, and regulatory developments affecting Perforce's sustainability commitments.
- Ownership; Reporting; and Compliance.
- Ownership. The Chief People Officer serves as the executive sponsor for ESG strategy and oversight. Corporate Legal and People & Culture jointly steward this Policy and coordinate on Perforce’s ESG initiatives across the business.
- Measurement and Disclosure. Perforce commits to reporting its progress on its ESG initiatives to the Board of Directors of its Parent company and its investors, customers, vendors, and other key stakeholders.
- Stakeholder Engagement. Perforce commits to engage with our customers, investors, employees, suppliers, key stakeholders, and regulators to respond to ESG related inquiries, including those in customer initiatives, requests for proposals, and renewals of contract terms.
- Review Cycle. Perforce commits to review and update this Policy and its initiatives, as may be required by material changes in regulation or business operations, by incorporating external standards, regulatory changes, and internal feedback loops.
